Intellectual Property & DMCA Policy

1. Intellectual Property Ownership

All rights, title, and interest in and to the South Shore Registered Agents, LLC website, content, design, materials, trade names, logos, and service marks (“Company Content”) are the exclusive property of South Shore Registered Agents, LLC (“Company,” “we,” “our,” or “us”).

No license or right is granted to you to use our intellectual property, except as expressly authorized in writing by us. Unauthorized use of our brand, trade name, or address in advertising, marketing, or filings is strictly prohibited and may result in injunctive relief and damages.

2. User-Provided Materials

Clients may transmit, upload, or provide documents in connection with registered agent services (“User Materials”).

  • You retain ownership of your User Materials.
  • By submitting them, you grant South Shore a limited, non-exclusive, worldwide, royalty-free license to receive, scan, store, and transmit those materials solely for the purpose of performing contracted services.
  • Submission does not guarantee legal compliance or freedom from third-party claims.
  • We may refuse, remove, or disable access to User Materials that violate law, third-party rights, or these Terms.

3. Disclaimer of Legal Services

Nothing in this Policy constitutes legal advice. South Shore Registered Agents, LLC is not a law firm, and communications regarding intellectual property or DMCA notices are not protected by attorney-client privilege.

4. Copyright Protection & DMCA Compliance

We comply with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512. If you believe your copyrighted work has been used in a way that constitutes infringement, submit a DMCA Takedown Notice to our Designated Agent.

6. Filing a DMCA Takedown Notice

A valid DMCA notice must include:

  • Identification of the copyrighted work claimed to be infringed.
  • Identification of the infringing material and sufficient information for us to locate it.
  • Your name, address, phone, and email.
  • A statement that you have a good faith belief the use is unauthorized.
  • A statement, under penalty of perjury, that the information is accurate and you are authorized to act.
  • Your physical or electronic signature.

Incomplete notices may not be processed.

7. Counter-Notification Procedure

If you believe your content was removed in error, you may submit a Counter-Notice including:

  • Identification of the removed material.
  • A statement, under penalty of perjury, of good faith belief in mistake or misidentification.
  • Your contact information.
  • A statement consenting to jurisdiction in the Eastern District of New York and accepting service of process.
  • Your physical or electronic signature.

Upon receipt, we may restore the material unless the original complainant files a court action.

8. Repeat Infringer Policy

In accordance with the DMCA, we may suspend or terminate the services of users determined to be repeat infringers.

9. Waiver of Liability & Damages

  • To the fullest extent permitted by law, South Shore is not liable for statutory damages, penalties, or attorneys’ fees arising from user-submitted materials alleged to infringe third-party rights, unless otherwise required by law.
  • We are not liable for indirect, incidental, consequential, or punitive damages relating to User Materials, scanning, or transmission.

10. Equitable Relief Reservation

We reserve the right to seek injunctive relief, damages, or other remedies if:

  • Our name, trademarks, or address are misused in filings, advertising, or fraudulent incorporation practices.
  • Our intellectual property rights are otherwise violated.

11. Time Limit for Claims

Any claim or cause of action under this Policy must be brought within twelve (12) months of the alleged act. Claims not filed within this period are permanently barred.

12. No Third-Party Beneficiaries

This Policy applies solely between South Shore Registered Agents, LLC and its clients. No third party may enforce or rely on this Policy.
