Terms of Service / Legal Agreement

1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the registered agent services, business filings, website, and related offerings provided by South Shore Registered Agents LLC (“Company,” “we,” “our,” or “us”). By using our Services, you agree to be bound by these Terms, our Privacy Policy, Cookie Policy, Security & Compliance Statement, and our Client Service Policies (Acceptable Use Policy, Service Commitments, Billing & Refund Policy, Disclaimer of Legal Services, and Document Retention & Destruction Policy). Collectively, these documents form the “Agreement.”

If you do not agree, you must not use the Services. This Agreement supersedes all prior understandings between you and the Company.

2. Eligibility

You must be at least 18 years of age, or a duly authorized officer, manager, or agent of a business entity, to use the Services. By registering, you represent and warrant that you are authorized to bind the entity you represent and that all information provided is accurate, complete, and current.

3. Scope of Registered Agent Services

  • We are authorized to receive service of process, legal notices, and official communications from the New York Secretary of State on your behalf.
  • We may open, scan, digitize, and transmit these documents to your account.
  • Our responsibility is limited to handling legal and state-mandated communications.
  • We do not accept or forward general mail or packages except as expressly stated in our Client Service Policies.

Document Limits:

  • Up to 15 legal documents annually per client are included; additional documents may incur fees.
  • Up to 10 “Regular Documents” (non-legal notices) will be scanned per year. These are provided as a courtesy and will not be physically forwarded.

Destruction Policy:

  • Documents are destroyed 30 days after scanning.
  • Clients must request physical forwarding in advance and pay postage, insurance, and handling fees.

Package Policy:

  • We do not accept packages. Any received packages may be refused, returned, or destroyed after 14 days.
  • We are not liable for loss or delay of packages.

4. Client Responsibilities

  • Maintain accurate, current, and lawful business information.
  • Promptly update us with changes to your entity’s address, officers, or status.
  • Ensure timely payment of all fees.
  • Not use our address for any purpose beyond registered agent services unless expressly permitted.

Failure to update or maintain accurate information constitutes a material breach of this Agreement.

5. Client Acknowledgment of Risk

  • Failure to maintain a valid registered agent may place your company into default, suspension, or administrative dissolution under New York law.
  • We are not responsible for any penalties, fines, or loss of good standing caused by your failure to promptly replace us after termination.

6. Termination of Services

By Company: We may terminate services at any time for non-payment, inaccurate information, suspected fraud, illegal activity, or failure to comply with these Terms or the Client Service Policies.

By Client: You may cancel services through your client portal at any time.

Effects of Termination:

  • We are released from all responsibility to notify, forward, or re-mail documents.
  • If our address remains listed as your registered agent address, we may resign, and you assume all costs and risks associated with loss of good standing, fines, or license suspension.
  • Any legal documents received post-termination may require payment of outstanding fees or renewal of services before release.

7. Billing and Payment

  • Services are billed automatically to the credit card on file.
  • You authorize us to process recurring charges until cancellation.
  • Cancellation must be made at least one (1) business day before renewal to avoid further charges.
  • Declined payments may result in suspension of services and referral to collections.
  • Refund Policy: All payments are final and non-refundable.

8. Mail & Delivery Safe Harbor

We are not liable for any missed deadlines, penalties, or legal consequences caused by:

  • Postal or courier delays;
  • Scanning or digital transmission delays;
  • Spam filters or client email system failures;
  • Client’s failure to monitor their account or update contact information.

9. Disclaimer of Professional Services

  • We are not a law firm, CPA firm, or financial advisor.
  • We do not provide legal, tax, or financial advice.
  • No attorney-client or fiduciary relationship is created.
  • Clients remain solely responsible for compliance with state filing requirements, corporate governance, and all other business obligations.

10. Indemnification

You agree to indemnify, defend, and hold harmless South Shore Registered Agents LLC, its officers, employees, and affiliates from any claims, liabilities, damages, or costs arising from:

  • Your breach of this Agreement or the Client Service Policies;
  • Your failure to maintain compliance with New York law;
  • Delivery delays caused by third parties or your failure to update information;
  • Any misuse of our address or services.

11. Limitation of Liability

The Services are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied, including but not limited to merchantability, title, quiet enjoyment, fitness for a particular purpose, or non-infringement.

To the fullest extent permitted by law:

  • We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages.
  • Clients waive the right to statutory penalties or damages under federal or state law, except where such waiver is prohibited.
  • Our total liability for any claim will not exceed the total annual fees paid by you to us in the year the claim arose.

12. Time Limit for Claims

Any claim or cause of action arising from or relating to the Services must be filed within twelve (12) months of the event giving rise to such claim, or it is permanently barred.

13. Dispute Resolution and Waiver of Jury Trial

  • All disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA) in Nassau County, New York.
  • Class Action Waiver: You may bring claims only in your individual capacity, not as part of a class or representative proceeding.
  • Small Claims Exception: Either party may pursue claims in small claims court in Nassau County, New York.
  • Waiver of Jury Trial: If arbitration is deemed unenforceable, both parties waive the right to a jury trial in any judicial proceeding.

14. Governing Law & Venue

This Agreement shall be governed by the laws of the State of New York, without regard to conflict of law principles. Any permitted legal actions shall be brought exclusively in the state and federal courts located in Nassau County, New York.

15. Assignment

You may not assign or transfer this Agreement or your rights or obligations without our prior written consent. We may assign this Agreement freely, including in connection with a merger, acquisition, or sale of assets.

16. No Third-Party Beneficiaries

This Agreement is solely between you and the Company. No third party shall have any rights or benefits under this Agreement.

17. Equitable Relief

We reserve the right to seek injunctive or equitable relief in any court of competent jurisdiction to protect our address, trademarks, intellectual property, or Services from misuse, in addition to any other remedies available at law or equity.

18. Force Majeure

We shall not be liable for failure to perform due to events beyond our reasonable control, including natural disasters, government orders, strikes, epidemics, cyberattacks, or Internet outages. If such an event continues for more than 60 days, we may terminate this Agreement without liability.

19. Survival of Terms

Sections relating to limitation of liability, indemnification, disclaimers, dispute resolution, governing law, equitable relief, and survival shall remain in full force and effect following termination.
